Developer License Agreement

  1. Preamble

    1. This Developer / SDK License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, the "Developer") and GARDOS SOFTWARE LTD, a company registered in Bulgaria with its registered office at Str. Malashevska №1, Sandanski 2800, Blagoevgrad, Bulgaria (the "Company"), for the software development component identified at the time of purchase or download — including any ActiveX control, DLL, library, sample code, and associated documentation (collectively, the "SDK").
    2. By installing, copying, or otherwise using the SDK, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the SDK.
    3. This Agreement governs your use of the SDK itself. Your use of the Company's website and account services remains separately governed by the Terms of Use.
  2. License grant

    1. Subject to your compliance with this Agreement and payment of any applicable license fees, the Company grants you a non-exclusive, non-transferable, revocable license to install and use the SDK on the number of developer seats corresponding to the license package you purchased, for the purpose of designing, developing, testing, and supporting your own software application(s) (each, an "Application").
    2. Trial or evaluation copies of the SDK may be subject to functional limitations (for example, a nag screen or watermark) and/or a limited term, as described on the product page at the time of download.
  3. Royalty-free redistribution

    1. Provided you hold a valid, paid license to the SDK, the Company grants you a royalty-free, worldwide right to reproduce and distribute the SDK's compiled runtime component(s) (for example, the redistributable DLL/OCX binary) solely as an integrated part of your own compiled Application, to your own end users, without payment of any additional per-copy or per-seat fee to the Company.
    2. This redistribution right does not extend to:
      1. The SDK's development tools, header files, type libraries, sample source code, or documentation, which may not be redistributed;
      2. Distributing the runtime component as a standalone product, as part of a competing SDK or developer tool, or in any way that would allow a third party to develop applications using the SDK's functionality independent of your Application;
      3. Sublicensing, reselling, or transferring your SDK development license itself to any third party.
    3. You are responsible for ensuring that your Application's end-user terms do not purport to grant end users any rights to the SDK beyond using it as embedded in your Application.
  4. Intellectual property

    1. The SDK is licensed, not sold. The Company and its licensors retain all right, title, and interest in and to the SDK, including all copyrights, patents, trade secrets, trademarks, and other intellectual property rights therein.
    2. This Agreement does not grant you any rights to trademarks or service marks of the Company. Your Application must not be presented in a way that suggests it is published, endorsed, or co-developed by the Company, unless separately agreed in writing.
    3. You retain all ownership rights to your own Application and any original code you write, apart from the redistributed SDK components themselves.
  5. Restrictions

    1. You shall not:
      1. Reverse engineer, decompile, or disassemble the SDK, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation;
      2. Rent, lease, lend, sell, sublicense, or otherwise transfer your SDK development license to any third party without the Company's prior written consent;
      3. Remove, obscure, or alter any proprietary notice, label, or mark in or on the SDK, including any notice embedded in the redistributed runtime component.
  6. Third-party trademarks

    1. The SDK may read, write, or otherwise interoperate with file formats associated with third-party products, including AutoCAD® DXF, AutoCAD® .PAT, and related formats, for interoperability purposes only.
    2. AutoCAD® is a registered trademark of Autodesk, Inc. The Company is not affiliated with, endorsed by, or sponsored by Autodesk, Inc., and no such affiliation, endorsement, or sponsorship should be inferred from any reference to AutoCAD® or compatible file formats. You must not represent your Application as an official Autodesk product or plugin on the basis of this compatibility.
    3. Other product and company names mentioned in connection with the SDK may be trademarks of their respective owners.
  7. Warranty disclaimer

    1. The SDK is provided "as is", without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
    2. The Company does not warrant that the SDK will be uninterrupted or error-free, or that defects will be corrected, nor that it is suitable for use in your specific Application.
  8. Limitation of liability

    1. To the maximum extent permitted by applicable law, in no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, arising out of or related to your use of, or inability to use, the SDK, or any Application built with it.
    2. The Company's total aggregate liability arising out of or related to this Agreement shall not exceed the amount actually paid by you for the license giving rise to the claim.
  9. Term and termination

    1. This Agreement is effective until terminated. The Company may terminate this Agreement immediately if you fail to comply with any term of this Agreement, including the redistribution restrictions in Section 3.
    2. Upon termination, you must cease all further redistribution of the SDK's runtime component in new copies of your Application and destroy all copies of the SDK development tools in your possession. Copies of your Application already distributed to your end users prior to termination are not affected.
  10. Export compliance

    1. You agree to comply with all applicable export and re-export control laws and regulations in connection with your use and distribution of the SDK.
  11. Governing law

    1. This Agreement shall be governed by the laws of the Republic of Bulgaria, without regard to its conflict of law provisions.
  12. Modifications

    1. The Company reserves the right to update this Agreement from time to time. Continued use of the SDK after such changes constitutes your acceptance of the revised Agreement.
